The bridge
Carve-out Accelerator: building the missing software in parallel to the separation
After closing, tools that ran at the seller are often missing: quoting tools, approvals, reports, a view of the separation. For each one we decide soberly: TSA, standard software or a new build. Where the new build wins, it is created in parallel to the separation, so the TSA is not extended because of it.
In short
The Carve-out Accelerator connects IT separation with AI-assisted software development. While the separation runs, our virtual development team builds the applications that stay with the seller or never existed, and shortens the TSA.
Almost every carve-out has small applications that appear on no system list: calculation tools, approval workflows, Excel macros, reports. They sit with the group and are still business-critical.
Traditionally they go into the TSA and get replaced later. That takes months. Not every tool needs a new build: often standard software or an adjusted process is enough. Where a new build is the best option, we replace the tool with Enterprise Vibe Coding in weeks, tested and on the new company's accounts.
Typical tools
- Separation cockpit with dependencies, TSA services and status
- Quoting and calculation tools that used to run at the group
- Approval and request workflows replacing SharePoint forms
- Data migration and reconciliation screens for the cutover
- Reporting for management and investor from Day 1
How it works
- 1
Inventory
The separation concept also captures small tools, with users and criticality.
- 2
Decision
Per tool: keep in the TSA, replace with standard software or build new.
- 3
Build
The virtual development team builds in parallel, prototype within days, go-live before the TSA ends.
- 4
Handover
Repository, hosting and operations move to the new IT or its provider.
